
Expand Energy says one of its members of the Board of Directors won’t stand for re-election at the company’s approaching annual meeting of shareholders.
In a filing made with the Securities and Exchange Commission, the company said board member John D. Gass notified the company he intended to retire from the board.
“Mr. Gass’s decision not to stand for re-election and to retire from the Board was not due to any disagreement with the Company regarding any matter relating to the operations, policies or practices of the Company,” stated the filing.
Gass joined the board in the fall of 2024 when then-Chesapeake Energy merged with Southwestern Energy of Houston and changed the name to Expand Energy. He was one of four new directors named after the company’s board of seven was expanded.
At the time, Gass was expected to be appointed to serve on the Environmental and Social Governance Committee and the Nominating and Corporate Governance Committee of the Board. He and the three other new directors, Catherine A. Kehr, S.P. “Chip” Johnson IV and Shameek Konar, were to receive the standard annual benefits paid to non-employee directors of an annual retainer of $80,000, payable quarterly in installments and an annual grant of restricted stock units with a value of approximately $200,000.
Gass formerly worked at Weatherford International Ltd. as an Independent Director from 2013 to 2014. He also served as an a vice president with Chevron.
