May 16 set for OGE Energy Corp.’s annual meeting

 

OGE Energy Corporation’s annual meeting will be held May 16 in Oklahoma City.

The company made a filing of a proxy statement with the U.S. Securities and Exchange Commission outlining the agenda which includes the election of 10 directors to its governing board.

Shareholders are asked to elect 10 nominees including Frank A. Bozich, James H. Brandi, Peter D. Clarke, Luke R. Corbett, David L. Hauser, Judy R. McReynolds, David E. Rainbolt, J. Michael Sanner, Sheila G. Talton, and Sean Trauschke.

The board has eleven members but Robert O. Lorenz will retire from the Board effective at the annual meeting. He has served as a director of OGE Energy and OG and E since July 2005.

The SEC filing indicated that the retirement policy at OGE Corp. provides that no director may be nominated to a new term if he or she would be 72 or older at the time of election. Luke Corbett will be 72 at the time of the election but the Nominating and Corporate Governance Committee went ahead with his nomination. It said the decision was made base on his service as lead director, prior leadership and experience in the oil and gas sector.

The 2018 compensation for the directors was also confirmed in the SEC filing which included $230,000 each for Bozich, Hauser and Sanner; $237,500 for Brandi and McReynolds; $250,000 for Corbett; $206,250 for Clarke; $41,667 for Kirk Humphreys who finished his service in May of last year; $245,000 for Lorenz; and $225,000 for Talton.

The meeting will begin at 10 a.m. CDT in the Skirvin Hilton Hotel’s Grand Ballroom.
