
Mach Natural Resources LP announced the proposed underwritten public offering of 9,000,000 common units representing limited partner interests in Mach by VEPU Inc., Simlog Inc. and Sabinal Energy Operating, LLC.
Mach will not sell any common units in the Offering and will not receive any proceeds therefrom. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed. The Selling Unitholders have granted the underwriters a 30-day option to purchase up to an additional 1,350,000 common units.

Where Mach operates
Mach’s assets are throughout Western Oklahoma, Southern Kansas, the panhandle of Texas, West Texas, Northwest New Mexico, Southwest Colorado and Southwest Wyoming and consist of approximately 12,000 gross operated PDP wells. Its average net daily production for the year ended December 31, 2025 was approximately 103 MBoe/d. The company wells are primarily located across three basins: the Anadarko Basin, the San Juan Basin and the Permian Basin.
Mach also owns a portfolio of midstream assets which supports its leases, including ownership in six processing plants with combined processing capacity of 1,303 MMcf/d, along with 2,905 miles of gas gathering pipelines. Additionally, Mach owns water infrastructure consisting of 1,120 miles of gathering pipeline and 177 disposal wells.
At the end of 2025, Mach was in process of drilling 4 gross wells (2.9 net) and had finished drilling and was completing or awaiting completion on 3 gross wells (2.3 net). As of December 31, 2025, the Company had no material ongoing non-operated drilling and completion activities.
