Vital Energy announced its annual shareholders meeting will be held in May.
The Tulsa company, in a proxy statement filing with the Securities and Exchange Commission said the May 22 meeting will begin at 9 a.m. at the Santa Fe Plaza building, 521 E. 2nd Street in Tulsa. All stockholders of record as of the Record Date, March 25, 2025, are invited to attend the 2025 meeting.
The agenda includes the election of three Class III directors for a three-year term, ratification of the selecton of Ernst & Young as the company’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2025, and a vote on approving the compensation of the firm’s named executive officers.
Directors on the board each receive an annual fee of $260,000 and are required to take $160,000 of their Director Base Compensation in the form of company common stock.

The three directors up for election include Albrecht, Hawes and Driver.
Vital Energy intends to release its first quarter financial report on May 12 followed by a conference call the next day.
