The annual meeting of shareholders of OG&E Energy Corp. will be held virtually over the internet on Thursday, May 19.
The company announced this week the meeting will begin at 10 a.m. and also revealed the agenda:
Elect 9 members of the board of directors
2. Ratify the appointment of Ernst & Young LLP as the company’s principal independent accountants for 2022
3. Hold an advisory vote to approve named executive officer compensation
4. Amendment of the restated certificate of incorporation to eliminate supermajority voting provisions
5. Approval of OGE Energy Corp. 2022 Stock Incentive Plan
6. Shareholder proposal regarding modification of the supermajority voting provisions
7. Attend to any other business properly presented at this meeting
The board of directors recommends a vote FOR the election of each of the 9 members of the board of directors in proposal (1); FOR proposal (2); FOR proposal (3); FOR proposal (4); FOR proposal (5); and AGAINST proposal (6).
