SandRidge Energy’s annual meeting set in May

 

The annual stockholders meeting of Oklahoma City’s SandRidge Energy, Inc. will be held May 25.

The company, in which investor Carl Icahn has a non-controlling interest of 4,818,832 shares or 13.1%, announced the meeting will be held at the Skirvin Hilton Oklahoma City beginning at 10 a.m.

The agenda includes the election of six directors to the Board of Directors, the ratification of the selection of Deloitte as the firm’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2021, approval of the compensation paid to the company’s named executive officers and approval of a Tax Benefits Preservation Plan.

Stockholders of record of shares of common stock at the close of business on April 12, 2021 are entitled to attend.

The election of directors includes a replacement for Jonathan Christodoro who notified the company of his intention not to stand for re-election. A SandRidge proxy statement filing with the Securities Exchange Commission stated that his decision to not stand for re-election “was not due to any disagreement” with the company.

 

The director nominees include: Patricia Agnello who has been on the board since June 2020 and has been chief human resources officer and employment counsel for IEP and also a director of the Carl Icahn CVR Energy Inc.

Another nominee is Hollywood film producer Jaffery Firestone who was Chairman and CEO at Prodigy Pictures Inc. and is also a director at CVR Energy. He was picked to replace Christodoro.

Jonathan Frates, a SandRidge director since 2018 was nominated for re-election. He has been Managing Director at Icahn Enterprises L.P. and is a director of CVR Energy and CVR Energy Partners.

Also nominated for re-election was director John “Jack” Lipinski who has been a member of the board since 2018 and previously was CEO and President of CVR Energy and CVR Refining, L.P.

Board member Randolph Read was nominated for re-election. He has been an independent director since June 2018 and was President and CEO of Nevada Strategic Credit Investments.

The final nominee is SandRidge CEO and President Carl Giesler, Jr. who has been the company’s leader since April 2020.
