OGE shareholders meeting set for May

The annual shareholders meeting of OGE Energy Corp. will be held May 21 in Oklahoma City.

A proxy filing with the Securities and Exchange Commission stated the meeting will be held at 10 a.m. on that Thursday in the Skirvin Hilton Hotel.

“We continue to take advantage of U.S. Securities and Exchange Commission rules that allow public companies to furnish proxy materials to their shareholders on the Internet,” stated Sean Trauschke, Chairman of the Board, President and CEO in the filing.

“Even though you may own only a few shares, your proxy is important in making up the total number of shares necessary to hold the meeting.”

The agenda includes the election of 10 members to the Board of Directors, appointment of Ernst & Young LLP as the company’s principal independent accountants for 2020,  a vote for executive officer compensation and a proposed amendment to eliminate supermajority voting provisions. Each received a recommendation of approval from the board of directors.

However, one agenda item is opposed by the directors. It is a shareholder proposal regarding allowing shareholders to act by written consent.
